Please read these Terms and Conditions ("Terms") carefully before using the Inventrix mobile application and services (the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Acceptance of Terms

By creating an account, downloading our mobile application, or accessing any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and all terms incorporated by reference, including our Privacy Policy. These Terms constitute a legally binding agreement between you and Inventrix.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement to these Terms will be treated as agreement by the organization.

2. Description of Service

Inventrix provides a cloud-based inventory management platform designed for food production operations, religious institutions, and retail businesses. Our Service enables users to:

  • Track daily production and inventory levels
  • Manage deliveries and outlet stock
  • Generate reports and analytics
  • Monitor wastage and optimize operations
  • Collaborate with team members through role-based access

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, for any reason.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account password
  • Restricting access to your account and devices
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breaches

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any conduct that we determine, in our sole discretion, is harmful to the Service or other users.

4. Acceptable Use

You agree to use our Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Service for any fraudulent or malicious purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Upload viruses, malware, or any harmful code
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use automated systems (bots, scrapers) without our written permission
  • Resell, sublicense, or redistribute the Service without our authorization

5. Subscription and Billing

5.1 Subscription Plans

Inventrix offers various subscription plans (Starter, Professional, Enterprise) with different features and pricing. You can choose between monthly and annual billing cycles. Current pricing is available on our Pricing page.

5.2 Payment Terms

By subscribing to a paid plan, you authorize us to charge your designated payment method. Payments are processed at the beginning of each billing cycle. All fees are non-refundable except as required by law or as expressly stated in these Terms.

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. We will charge your payment method for the renewal at the then-current rate.

5.4 Plan Changes

You may upgrade or downgrade your plan at any time. Changes take effect on the next billing cycle. If you upgrade mid-cycle, you will be charged a prorated amount for the remainder of the current billing period.

5.5 Free Trial

We may offer free trial periods for certain plans. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends. No credit card is required to start a trial for Starter and Professional plans.

6. Intellectual Property Rights

6.1 Our Rights

The Service, including all content, features, functionality, software, text, graphics, logos, and trademarks, is owned by Inventrix and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes only.

6.2 Your Data

You retain all rights to the data you input into the Service ("Your Data"). By using the Service, you grant us a license to use, store, and process Your Data solely to provide and improve the Service. We will not share Your Data with third parties except as described in our Privacy Policy.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to compensate you.

7. Data Backup and Loss

While we implement daily automated backups and maintain high availability standards, you are solely responsible for maintaining your own backup copies of Your Data. We recommend regularly exporting your data using our export features. We are not liable for any data loss or corruption.

8. Third-Party Integrations

The Service may integrate with third-party services (accounting software, POS systems, ERP solutions, payment processors). These integrations are provided "as is" and are subject to the terms and policies of those third parties. We are not responsible for any issues arising from third-party services or their availability.

9. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • Results obtained from using the Service will be accurate or reliable
  • The quality of the Service will meet your expectations
  • Any errors in the Service will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVENTRIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your data

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Inventrix and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Data or any content you submit through the Service

12. Termination

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access to the Service until that date.

Upon termination, we will retain your data for 30 days to allow for account reactivation. After 30 days, your data will be permanently deleted unless you request an export before termination. We may retain certain information as required by law or for legitimate business purposes.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@inventrix.com and attempt to resolve the dispute informally. We will do the same before taking formal action.

13.2 Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with commercial arbitration rules. The arbitration will be conducted in English, and the decision will be final and binding.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Inventrix operates, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction and venue of courts in that jurisdiction for any disputes.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a prominent notice on the Service at least 30 days before changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Inventrix concerning the Service and supersede all prior agreements and understandings.
